Annual Report Requirement: Annual Reports with the Secretary of State
All domestic and foreign business entities must file an Annual Report yearly to maintain their active status and keep their Unified Business Identifier (UBI) in good standing. This annual report is due by the last day of the month in which the business was originally formed or registered.
Annual Report Filing Window:
File
up to 180 days before the expiration date
. Submit this report and make other updates in one filing. Filing early doesn’t change the expiration date and remains tied to the original formation month.
Effect of Late Filing:
Failure to file on or before the expiration date results in a delinquent status and may lead to administrative dissolution.
Status Notifications:
Reports received (submitted) on or before the expiration date are honored. Once the report is accepted, the status will be updated, and the filing will be placed on public record.
Customer Alert:
An annual report will not show on public record if a future effective date is selected. The online filing system will then allow multiple submissions, and corresponding fees are non-refundable.
An
Amended Annual Report
does not meet the Annual Report requirement. This report is intended to update information outside of the Annual Report filing window.

When am I notified my Annual Report is due?
The Secretary of State notifies registered business entities by regular mail and email 60 days before their expiration date of their Annual Report due date.
This courtesy notice is provided by the Secretary of State per statute and receival of this notice is not required in order to enforce this required report
.

encourages customers to use a calendar reminder every year to get their report in well before their expiration to mitigate any risk of delinquency or loss of status/business.

How soon can I file my annual report?
An Annual Report may be filed within 180 days before the expiration or annual report due date.
The Secretary of State

Will filing early change my expiration date for next year?
Filing the Annual Report before the expiration month will not change the expiration date. As long as the business does not fall out of active or delinquent status, the expiration day will always remain the last day of the month it first formed, registered, or incorporated.
I never received a notice from the Secretary of State
Even if the business did not receive an annual report due date notice, they are still obligated to file their Annual Report. This is outlined in
RCW 23.95.255(7)

Failure of the secretary of state to provide any such notice does not relieve a domestic entity or registered foreign entity from its obligations to file the annual report required by this chapter or to pay any applicable annual renewal fee.
